End User License Agreement

1. Acceptance of Terms

This End User License Agreement ("Agreement") governs access to and use of the FinOrbit platform, including any production keys, API credentials, software, dashboards, reports, and related services (collectively, the "Service"). By using FinOrbit, you agree to be bound by this Agreement.

2. Ownership

FinOrbit and all related intellectual property, including software, APIs, documentation, branding, and production keys, are and remain the exclusive property of FinOrbit. No ownership rights are transferred to you under this Agreement.

3. License Grant

FinOrbit grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service solely for your internal business purposes and only in accordance with this Agreement.

4. Production Keys and Security

If FinOrbit issues production keys, API keys, tokens, or similar credentials to you, you are responsible for keeping them confidential and secure. You may not share, publish, resell, or expose them to unauthorized parties. FinOrbit may revoke, rotate, suspend, or replace credentials at any time if misuse, compromise, or security risk is suspected.

5. Restrictions

You may not:

  • reverse engineer, decompile, or attempt to derive source code from the Service;
  • resell, sublicense, lease, or distribute the Service or any production keys;
  • use the Service for unlawful, fraudulent, or unauthorized purposes;
  • circumvent security controls or access restrictions;
  • use the Service in a way that interferes with its operation or availability.

6. Third-Party Integrations

FinOrbit may integrate with third-party services, including accounting and financial platforms such as QuickBooks Online. FinOrbit is not responsible for the availability, accuracy, or performance of third-party systems, data, or services.

7. No Financial or Legal Advice

FinOrbit provides software tools, analytics, dashboards, and reporting functionality. FinOrbit does not provide accounting, tax, legal, audit, or financial advisory services. You are solely responsible for reviewing and validating any output before relying on it for business or compliance purposes.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

9. Limitation of Liability

To the maximum extent permitted by law, FinOrbit shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, business opportunities, or goodwill arising out of or related to your use of the Service or production keys.

10. Termination

FinOrbit may suspend or terminate your access to the Service, including any production keys, at any time if you violate this Agreement or if continued access presents a security, legal, or operational risk.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles.
